1. Acceptance of Terms

By accessing or using Travel Tango, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. We reserve the right to update these Terms at any time. We will notify you of material changes through the app, website, or email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

2. Eligibility

To use Travel Tango, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials

By creating an account, you represent and warrant that you meet these eligibility requirements. We reserve the right to verify your age and identity at any time.

Important: Travel Tango is not intended for use by individuals under 18 years of age. If we discover that a user is under 18, we will immediately terminate their account.

3. Account Registration and Security

3.1 Account Creation

To access certain features of Travel Tango, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Not create an account for anyone other than yourself without permission
• Not create more than one account
• Not transfer or sell your account to another person

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

Travel Tango is not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Deletion

You may delete your account at any time by:

1. Opening the Travel Tango app
2. Navigating to Settings → Account Settings
3. Selecting “Delete Account”
4. Following the confirmation prompts

Alternatively, you may email us at support@traveltango.ai with the subject line “Account Deletion Request.”

Upon account deletion:

• Your profile will be permanently removed from the Service
• You will lose access to all account data and content
• Some information may be retained as required by law or for legitimate business purposes (see our Privacy Policy)
• Deletion does not affect any obligations you incurred prior to deletion

4. Description of Service

Travel Tango is a platform that connects travelers to facilitate mutual assistance, companionship, and travel-related services. Key features include:

• Creating travel profiles and itineraries
• Matching with other travelers based on travel plans and preferences
• In-app chat and messaging
• Reviews and ratings of other users
• Optional reward and incentive features, including non-cash gift card rewards (if enabled).
• Optional profile verification features, where available.
• Community moderation tools (blocking and reporting)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.

5. User Conduct and Prohibited Activities

5.1 Acceptable Use

You agree to use Travel Tango in a lawful, respectful, and responsible manner. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Harass, bully, stalk, intimidate, threaten, or harm other users
• Post or transmit content that is illegal, harmful, threatening, abusive, defamatory, obscene, hateful, or racially or ethnically offensive
• Engage in any form of discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Spam, solicit, or advertise commercial products or services without authorization
• Transmit viruses, malware, or any code of a destructive nature
• Attempt to gain unauthorized access to the Service, user accounts, or computer systems
• Use the Service for any fraudulent, deceptive, or illegal purpose
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, data mine, or use automated systems to access the Service without permission
• Remove or alter any copyright, trademark, or proprietary notices
• Encourage or facilitate any violations of these Terms

5.2 Travel Safety Conduct

When meeting or connecting with other users, you agree to:

• Exercise caution and common sense in all interactions
• Not share sensitive personal information (e.g., home address, financial details, passwords) with other users
• Meet in public, well-lit locations when appropriate
• Inform friends or family of your travel plans and meetings with other users
• Report suspicious behavior or safety concerns immediately
• Not engage in illegal activities or facilitate illegal conduct

6. User-Generated Content

6.1 Content You Create

Travel Tango allows users to create and share content, including:

• Profile information and photos
• Travel plans and itineraries
• Messages sent through in-app chat
• Reviews and ratings of other users
• Comments and feedback

You retain ownership of the content you create. However, by posting content on Travel Tango, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute your content in connection with operating and promoting the Service.

6.2 Content Standards

All user-generated content must comply with these standards. Content must NOT:

• Contain false, misleading, or fraudulent information
• Violate any third-party rights, including intellectual property, privacy, or publicity rights
• Contain hate speech, discriminatory language, or promote violence
• Include sexually explicit, pornographic, or obscene material
• Promote illegal drugs, weapons, or other illegal activities
• Contain spam, advertising, or unsolicited promotional material
• Harass, bully, or intimidate other users
• Disclose private information about others without consent

6.3 Chat and Messaging Rules

Travel Tango’s in-app chat feature is intended for legitimate travel-related communication. When using chat, you must:

• Communicate respectfully and courteously
• Not use chat to harass, spam, or solicit other users
• Not send unsolicited commercial messages or advertisements
• Not share explicit or inappropriate content
• Not use chat to coordinate illegal activities

We reserve the right to review chat messages if reported for violations. We may take enforcement action based on our review.

6.4 Reviews and Ratings

When posting reviews or ratings, you agree to:

• Provide honest, accurate, and fair assessments based on your genuine experience
• Not post fake, misleading, or fraudulent reviews
• Not manipulate ratings through coordinated activity or incentivized reviews
• Not use reviews to harass, defame, or attack other users
• Focus on the travel experience and user conduct, not on irrelevant personal characteristics

We reserve the right to remove reviews that violate these standards.

6.5 Content Monitoring and Removal

While we are not obligated to monitor user-generated content, we reserve the right to:

• Review, screen, edit, or remove any content at our discretion
• Investigate reports of content violations
• Take enforcement action against users who violate these Terms

We do not endorse or guarantee the accuracy, reliability, or legality of any user-generated content.

7. Reporting, Blocking, and Enforcement

7.1 Reporting Tools

Travel Tango provides tools to report inappropriate content or behavior. You can report:

• Inappropriate messages or chat content
• Fake, abusive, or misleading profiles
• Fraudulent or spam activity
• Violations of these Terms or our Community Guidelines
• Safety concerns or illegal activity

How to Report:

• Tap the “Report” button on the user’s profile, message, or review
• Select the reason for your report
• Provide any additional details (optional)
• Submit the report for review

All reports are reviewed by our moderation team. We will investigate and take appropriate action, which may include content removal, warnings, account suspension, or permanent ban.

7.2 Blocking Users

You can block any user at any time. Blocking a user will:

• Prevent them from sending you messages
• Hide your profile from their view
• Remove them from your matches and connections
• Prevent future matching with that user

How to Block:

• Navigate to the user’s profile
• Tap the “Block” button
• Confirm your decision

7.3 Enforcement Actions

If you violate these Terms, we may take one or more of the following actions:

• Warning: Issue a formal warning for minor or first-time violations
• Content Removal: Remove content that violates our policies
• Feature Restriction: Temporarily restrict access to certain features (e.g., chat, reviews)
• Account Suspension: Temporarily suspend your account for repeated or serious violations
• Permanent Ban: Permanently terminate your account for severe or repeated violations
• Legal Action: Pursue legal remedies for illegal conduct or significant harm

Enforcement decisions are made at our sole discretion. We are not required to provide advance notice before taking action, though we may do so in certain circumstances.

8. Account Suspension and Termination

8.1 Suspension

We may suspend your account temporarily if:

• You violate these Terms or our Community Guidelines
• We receive credible reports of misconduct
• We suspect fraudulent, illegal, or harmful activity
• We need to investigate a security issue
• Required by law or legal process

During suspension, you will not be able to access the Service. We will notify you of the suspension and the reason (when appropriate). You may appeal by contacting us at support@traveltango.ai.

8.2 Termination by Travel Tango

We may terminate your account immediately, without notice, if:

• You commit serious or repeated violations of these Terms
• You engage in illegal activity or cause harm to other users
• You create multiple accounts to evade enforcement
• Your account is used for fraudulent purposes
• Required by law or to protect the safety of our users

Upon termination, you will lose access to your account and all associated data. We are not liable for any consequences of termination.

8.3 Termination by You

You may terminate your account at any time by following the account deletion process described in Section 3.3.

8.4 Effect of Termination

Upon termination or suspension:

• Your right to use the Service immediately ceases
• Outstanding obligations (e.g., payments owed) remain in effect
• Certain provisions of these Terms survive termination (e.g., liability limitations, dispute resolution)

9. Payments, Wallet, and Financial Terms

9.1 Payment Processing

Travel Tango may offer payment-enabled features that allow users to pay for travel assistance or services provided by other users. Payments are processed through secure third-party payment processors.

Note: Except for non-cash gift card rewards, Travel Tango does not currently process live payments, escrow, or cash withdrawals in v1.

9.2 Payment Authorization

When you make a payment through Travel Tango, you authorize us to charge your selected payment method. You represent that:

• You are authorized to use the payment method provided
• All payment information is accurate and current
• You will maintain sufficient funds or credit to complete transactions

9.3 Payment Hold and Release

For certain transactions, Travel Tango may hold funds securely and release them after the service is completed. This process:

• Protects both parties from fraud or disputes
• Ensures fairness in transactions
• May involve a verification or review period before release

9.4 Gift Card Rewards (Non-Cash Payouts)

Travel Tango does not support direct cash withdrawals. Users may be eligible to receive digital gift cards issued by third-party providers as a form of non-cash payout or reward. By participating, you acknowledge that:

• Gift cards are optional and subject to availability
• Gift cards are fulfilled by third-party providers (we do not store your bank account or card details for payouts)
• Gift cards are not redeemable for cash or bank transfers
• Gift card terms and conditions are set by the issuer
• Travel Tango is not responsible for gift card availability, value, redemption issues, or third-party provider actions

9.5 Fees and Charges

Travel Tango may charge service fees, processing fees, or other charges for certain transactions. All applicable fees will be clearly disclosed before you complete a transaction.

9.6 Refunds and Cancellations

Refund eligibility depends on the circumstances of the transaction. Generally:

• Refunds may be available if services are not provided as agreed
• Disputes should be reported to us within a reasonable timeframe
• We will investigate and resolve disputes in good faith
• Our decision on refund eligibility is final

9.7 Taxes

You are responsible for determining and paying any applicable taxes related to your use of the Service, including income taxes on any rewards or payments you receive.

9.8 Future Payment Features

Travel Tango may introduce additional payment, wallet, or financial features in the future. If we do, we will update these Terms accordingly and notify you of any material changes.

10. Safety Disclaimer and Limitation of Liability

IMPORTANT SAFETY DISCLAIMER

Travel Tango is a platform that facilitates connections between travelers. However, we do not guarantee the safety, reliability, or conduct of any user. You acknowledge and agree that:

• Travel matching and connections are NOT guaranteed to be safe or successful
• You are solely responsible for your own safety when using the Service
• You use Travel Tango and interact with other users AT YOUR OWN RISK
• We do not conduct comprehensive background checks on users (even verified profiles)
• Verification badges indicate only identity or payment verification, NOT trustworthiness or safety
• We are not responsible for the actions, conduct, or behavior of any user on or off the platform
• You should exercise caution, common sense, and personal judgment in all interactions

We strongly encourage you to:

• Meet in public places
• Inform friends or family of your plans
• Trust your instincts and report suspicious behavior immediately
• Not share sensitive personal or financial information with other users

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the conduct or safety of users

WE DO NOT WARRANT THAT:

• The Service will meet your requirements or expectations
• Results obtained from the Service will be accurate or reliable
• Any errors or defects will be corrected
• The Service is free from viruses or other harmful components

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAVEL TANGO, Z2 VENTURES LLC, AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• PERSONAL INJURY OR PROPERTY DAMAGE
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• DAMAGES ARISING FROM INTERACTIONS WITH OTHER USERS
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA
• DAMAGES ARISING FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10.3 Indemnification

You agree to indemnify, defend, and hold harmless Travel Tango, Z2 Ventures LLC, and our officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your content or conduct on the platform
• Your interactions with other users

11. Intellectual Property

11.1 Our Intellectual Property

The Service, including all content, features, functionality, software, designs, logos, trademarks, and branding (excluding user-generated content), is owned by Travel Tango or our licensors and is protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer or attempt to extract source code
• Use our trademarks or branding without written permission
• Create derivative works based on the Service

11.2 Your Intellectual Property

You retain ownership of content you create. However, by posting content on Travel Tango, you grant us the license described in Section 6.1.

11.3 Copyright Infringement

If you believe that content on Travel Tango infringes your copyright, please contact us at support@traveltango.ai with:

• A description of the copyrighted work you claim has been infringed
• The location of the infringing content on the Service
• Your contact information
• A statement that you have a good faith belief that the use is not authorized
• A statement that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf

12. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, apps, or services (e.g., payment processors, social media platforms, calendar apps). We do not control or endorse these third-party services and are not responsible for their content, privacy practices, or terms.

Your use of third-party services is governed by their own terms and conditions. We encourage you to review their policies before use.

13. Governing Law and Dispute Resolution

Disputes shall be resolved in accordance with applicable law in the State of Texas.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

13.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service (“Dispute”), you and Travel Tango agree to first attempt to resolve the Dispute informally by contacting us at support@traveltango.ai.

13.3 Arbitration Agreement

If the Dispute cannot be resolved informally within 30 days, you and Travel Tango agree that any Dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in [CITY, STATE – PLACEHOLDER] or remotely via video conference.

Arbitration Terms:

• The arbitration shall be conducted by a single arbitrator
• The arbitrator’s decision shall be final and binding
• Each party shall bear its own costs and fees, unless otherwise awarded by the arbitrator
• You and Travel Tango waive the right to a jury trial

13.4 Class Action Waiver

YOU AND TRAVEL TANGO AGREE THAT ANY DISPUTE SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. You and Travel Tango expressly waive the right to participate in or bring class actions.

13.5 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13.6 Venue

To the extent arbitration does not apply, you agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in [COUNTY, STATE – PLACEHOLDER], and you consent to the jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Travel Tango regarding the Service and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms at any time without restriction.

14.5 No Agency

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Travel Tango.

14.6 Force Majeure

Travel Tango shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or government actions.

14.7 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: Sections 6 (User-Generated Content), 10 (Safety Disclaimer and Limitation of Liability), 11 (Intellectual Property), and 13 (Governing Law and Dispute Resolution).

14.8 Language

These Terms are written in English. Any translations provided are for convenience only. In the event of a conflict, the English version shall prevail.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or business operations. When we make changes, we will:

• Update the “Last Updated” date at the top of this document
• Notify you through the app, website, or email for material changes
• Request your consent if required by law

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
